Sell Side: Due Diligence
The due diligence period begins once a buyer is selected. The extent of the due diligence will be agreed upon prior to accepting the LOI. We will help facilitate the process, run the secure data room and answer many of the questions that arise. Once the buyer satisfies its due diligence needs, we, along with your legal counsel, will help conclude negotiations, finalize the purchase and sale agreement, and close the transaction. Specific steps include:
- Gather and present due diligence information; run the data room and resolve any issues.
- Facilitate the completion of the due diligence process.
- Monitor the buyer’s progress in securing financing.
- Review the agreement of sale and other closing documents, and if necessary, assist with final negotiations.
- Close the transaction.
